Fees and expenses

The fees for the Assignment will be fixed at the agreed monthly rate, excluding VAT.

The Client will reimburse the Company for expenses properly incurred in the performance of the Assignment. All such expenses will be supported by appropriate receipts or other evidence as required by the Client.

Costs will be billed monthly in arrears. Payment terms for all invoices are 30 days from the date of invoice. All costs are subject to VAT.

Term

The minimum term will be agreed at the start of the assignment.

The Client may terminate the agreement by immediate notice in writing to the Company if:

• The Company is in material breach of this agreement.
• The Company fails to deliver the agreed work plan within the agreed timescale.
• The employees acting on the Assignment are guilty of misconduct, negligence or fail to comply with reasonable instructions from the Client.

The Client may terminate the agreement by giving one months notice in writing to the Company.

Fees will normally be payable up to the date of Termination.

Confidentiality

The Company will treat as confidential all Client information gained during the course of the Assignment and will only use this information in the proper course of the Assignment.

The Company shall not, during or after the Assignment, make any other use of, or otherwise deal with, confidential information acquired in the course of the Assignment.

These terms shall not prevent the Company using information where the information has ceased to be confidential, or where the Client expressly agrees to the use of the information.

The Company will sign a “non-disclosure” agreement relating to the Assignment if required by the Client.

Conduct

During the course of the Assignment employees of the Company will conduct themselves professionally at all times to maintain the reputation of the Client and the Company.

The Company requires its employees to declare any actual or potential conflicts of interest and not to accept any unreasonable gifts or offers of hospitality.

Relationship

This Agreement is between the Client and the Company. Nothing in this Agreement is intended to create an employee and employer relationship between any employees of the Company and the Client.

Law

The Client and the Company agree that this Agreement shall be governed by English Law.
